Datacare Software Group Addresses Sarbanes-Oxley Act Changes in its Global Corporate Manager Product
NEW YORK, NY, August 7th, 2002 - Datacare today announced that it will release enhancements to its Global Corporate Manager (GCM) solution that will assist its clients in complying with the Sarbanes-Oxley Act, with respect to reporting requirements for insider transactions.
The Company's new enhancements will allow its corporate clients to conveniently file documents within the required two-day window, enabling corporations to comply with required laws and regulations. These enhancements, expected to be available soon after the August 29, 2002 deadline, in line with the effective date of the Sarbanes-Oxley Act, reaffirm Datacare's commitment to developing comprehensive governance solutions for the corporate market.
The Sarbanes-Oxley Act requires that, as of August 29th 2002, all insider transactions be reported (via a modified version of the Section 16 Form 4) within two business days and, starting in one year, be filed electronically through the Securities and Exchange Commission's EDGAR (Electronic Data Gathering, Analysis and Retrieval) filing system.
Datacare's GCM application includes a suite of wizards that aid clients in the gathering of insider information and the preparation of the Form 4, as well as Forms 3 and 5. The forms can then be emailed to insiders for review prior to filing with the SEC. Development is currently underway that will also enable direct electronic filing with EDGAR, something that is now mandated to occur under the Sarbanes-Oxley Act, prior to August 29th 2003.
