Global Entity Management System’s Section 16 Module provides public companies with one completely integrated system for tracking all Insiders and their appointments, stock transactions and Edgar filings. When combined with GEMS’s Securities Management module, it forms a uniquely powerful tool for managing a company’s shares and derivatives and helps you to meet the Sarbanes-Oxley Act’s requirement for two day filing of Form 4s, along with Forms 3 and 5.

The module features a rich set of customizable and easy-to-use functionality:

• Each Business Entity record in GEMS has a section where its stockholders, the stockholdings of its directors and officers, and their stock transactions are recorded. The types of transactions that can be recorded in this section include Balance, Buy Back, Conversion, Disposal, Dividend, Issue, Redeem, Reverse Split and Transfer.

• The system automatically calculates and updates a reporter’s holdings so that up to date reporting is available
• It also tracks the status of all filings and uses the Task system reminder to ensure full compliance with the new Sarbanes-Oxley reporting requirements.
• Users can search across entire filings database for specific records (e.g. “show me which Directors have sold more than 10,000 shares in the last six months” or “show me all filings by Bob Jones in the last quarter of last year”).
• They can also attach associated documents to the form – attachments will be uploaded to Edgar as part of the filing.
• The filing can be stored for later reference. Authorized users can open an existing filing, amend the details and then re-file.
• Via GEMS’s unique Security module, Section 16-related functionality, data and filings can be restricted for access only by approved users. User access can be Edit, Read-Only or Hidden, at the record level or against specific fields.
